BYLAWS
BLOUNT BRITISH CARS LTD
SECTION 1 – NAME
The name of this club shall be Blount British Cars (BBC).
SECTION 2 – OBJECT
The object of Blount British Cars shall be promotion of an enjoyment of British car ownership, fellowship, civic projects and cooperation.
SECTION 3 – MEETINGS
Regular meetings shall be held the second Thursday of each month. The time and place for these meetings to be determined by the reigning President – who will also notify all members within seven days of same. If for any reason the reigning President is absent/unable/incapacitated to hold a meeting, it will be the Vice Presidents duty to assume all such responsibilities.
SECTION 4 – MEMBERSHIP
Any person seriously interested in British Cars may apply for membership.
Charter members of Blount British Cars shall be those members who paid their membership dues on April 10 1986.
Membership of any person may be suspended, when sufficient reasons exist, by the action of the club Executive Board. The suspended member shall have the right to appeal suspension, in which case the action of the Executive Board shall be upheld or rescinded by a majority vote of the membership.
SECTION 5 – OFFICERS
The following officers shall be elected by the membership majority:-
President
Vice-President
Secretary
Treasurer
The management of the club shall be directed by the Executive Board composed of the elected officers (section V). The Executive Board shall meet to transact the business of the club.
A quorum of the Executive Board for the purpose of conducting business shall consist of a majority of the elected Officers. The President will only vote to break ties.
SECTION 7 – FINANCE
Membership dues are good for one year. The annual dues shall be $20 per year (subject to change by the Executive Board). Membership dues will be due and payable by the January Meeting. Any person joining after June 30th will only pay $10 for half year membership fee. Members failing to pay dues prior to the March meeting shall be considered in arrears and shall be acted upon by the Executive Board.
SECTION 8 – ELECTIONS
Club officers shall be elected every two years by a quorum of members present during the December club meeting. They will assume office at the January club meeting. Only members with currently paid dues shall be permitted to vote and to be a candidate for office.
No officer shall be re-elected to the same post for more than two consecutive terms.
Vacancies in the club officers shall be filled by the President, subject to approval of the Executive Board. Vacancy of the President’s office shall be filled by the advancement of the Vice President.
SECTION 9 – DUTIES OF OFFICERS
Duties of the President – To preside at all club meetings and Executive Board meetings, to appoint committee chairmen as required, to act as a club spokes-person, to generally supervise and keep in touch with all club activities.
Duties of the Vice President – To assume all duties of the President/Secretary/Treasurer in his/her absence.
Duties of the Secretary – To keep records of the minutes of all meetings and e mail to members on a monthly basis, to conduct correspondence for the club, to act as a club director on the Executive Board.
Duties of the Treasurer – To keep financial records for the club, to issue payment for club expenses, to account for all monies received/spent by the club and to provide a monthly financial report.
SECTION 10 – QUORUM
A quorum of the membership for the purpose of conducting club business shall consist of a majority of paid members present.
SECTION 11 – AMENDMENTS
Amendments to the By Laws may be proposed by a member to the Executive Board and if approved, may become a part of the By Laws by a majority vote at the next membership meeting.
The original by laws were adopted at a regular meeting on April 10 1986.
